1. Introduction and Acceptance
Welcome to Delivault ("Service"), a delivery protection platform operated by Daeyeub Kim (κΉλμ½) ("Company", "we", "us", or "our"). Delivault helps freelancers protect their work deliveries through file locking, payment confirmation, manual approval, and automated evidence generation.
By creating an account or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms apply to all users of the Service, including freelancers who create accounts and clients who access deliveries via shared links.
2. Definitions
- "Service" means the Delivault platform, including all features, tools, and functionality available at delivault.dev.
- "Freelancer" means a registered user who creates and manages deliveries (Vaults) through the Service.
- "Client" means a third party who accesses a delivery via a link shared by a Freelancer. Clients do not need to register an account.
- "Vault" means a single protected delivery unit created by a Freelancer for a specific Client.
- "Subscription Plan" means the Free, Pro, or Business tier selected by a Freelancer.
- "Content" means any files, text, images, or other materials uploaded to or generated within the Service.
3. Eligibility
You must be at least 18 years old to create an account and use the Service. By accepting these Terms, you represent that you meet this requirement. The Service is intended for professional use by freelancers and independent contractors.
4. Account Registration
- To use the Service as a Freelancer, you must register an account using a valid email address and password, or through a supported social login provider (e.g., Google).
- You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
- You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
- You must notify us immediately at help@mail.delivault.dev if you become aware of any unauthorized use of your account.
- We reserve the right to refuse registration or terminate accounts that violate these Terms.
5. Service Description
Delivault provides the following core features:
- Vault Creation: Create protected delivery units and upload files securely.
- Client Link Generation: Generate HMAC-signed unique links for client access.
- Email OTP Verification: Authenticate clients via one-time passwords sent to their registered email address.
- File Locking & Preview Separation: Clients can only view previews until the Freelancer manually approves access.
- Payment Confirmation: Record and confirm client payments within the platform.
- Manual Approval: Freelancers maintain full control over when full file access is granted.
- Dispute Handling: Raise disputes with timestamp-based evidence automatically compiled into a PDF.
- Delivery Timeline & Event Logs: All key actions are logged with timestamps.
- Dashboard & Subscription Management: Manage all deliveries and subscription settings.
6. Subscription Plans and Billing
6.1 Available Plans

Clients always use the Service for free. Only Freelancers are subject to subscription fees.
6.2 Billing
- Subscription fees for paid plans are billed monthly in USD (US Dollars) via our payment processor, Creem (Merchant of Record). Creem handles all payment processing and tax compliance on our behalf.
- Subscriptions automatically renew on the same date each month unless cancelled.
- All fees are exclusive of applicable taxes, which may be added by Creem depending on your jurisdiction.
- You authorize us and Creem to charge your payment method on a recurring monthly basis.
6.3 Free Plan Limits
Freelancers on the Free plan are limited to 2 Vault creations per calendar month. Attempts to exceed this limit will be blocked until the next calendar month or until you upgrade to a paid plan.
7. Cancellation and Refunds
7.1 Cancellation
You may cancel your subscription at any time from your dashboard. Upon cancellation:
- Your paid plan benefits remain active until the end of the current billing period.
- Your account reverts to the Free plan at the end of the billing period.
- Your existing Vaults, files (subject to storage limits), and event logs are retained.
7.2 Refunds
- Within 7 days of initial payment: A full refund is available if you have not created any Vaults or uploaded any files.
- After 7 days or with usage: Refunds are generally not available for the current billing period. We evaluate requests case by case.
- Renewal refunds: If you were charged for a renewal and have not used the Service in the new period, contact us within 48 hours of the renewal charge for a refund consideration.
- Service outages caused by us: If a Service outage exceeds 24 consecutive hours due to our fault, you may request a prorated credit for the affected period.
To request a refund, email help@mail.delivault.dev with your account email and the reason for your request. We will respond within 5 business days.
8. Acceptable Use
You agree not to use the Service to:
- Upload files that infringe any third party's intellectual property rights, including copyrights, trade secrets, or trademarks.
- Upload or transmit malware, viruses, or any other harmful or disruptive code.
- Deceive, defraud, or mislead Clients or other users through false information or misrepresentation.
- Engage in spamming, phishing, or any other form of unsolicited communications via the Service.
- Impose an unreasonable or disproportionately large load on the Service infrastructure.
- Attempt to gain unauthorized access to the Service, its systems, or other users' accounts.
- Resell or sublicense access to the Service without our prior written consent.
- Violate any applicable local, national, or international law or regulation.
- Use the Service in connection with illegal activities or to harm others.
We reserve the right to investigate and take appropriate action, including suspending or terminating your account, if we have reason to believe you have violated these provisions.
9. Client Access and Verification
- Clients access Vaults via HMAC-signed unique URLs that you, as a Freelancer, share with them.
- Clients must verify their identity via a one-time email OTP before accessing any delivery. OTPs are valid for 10 minutes and can only be used once.
- Only email addresses whitelisted by the Freelancer at the time of Vault creation are permitted to authenticate.
- Client authentication events (email address and timestamp) are recorded in the event log and may be used as evidence in disputes.
- Clients may only view a limited file preview until the Freelancer grants full access by approving the delivery.
10. Intellectual Property
10.1 Our IP
All rights in the Service itself β including its software, design, trademarks, and branding β are owned by or licensed to the Company. These Terms do not grant you any rights to use our intellectual property except as expressly provided.
10.2 Your Content
You retain all intellectual property rights in the Content you upload to the Service. By uploading Content, you grant us a non-exclusive, royalty-free, worldwide license to store, process, transmit, and display that Content solely to the extent necessary to provide the Service to you.
10.3 Your Representations
You represent and warrant that:
- You own or have the necessary rights to upload the Content.
- The Content does not infringe any third party's intellectual property rights.
- You have obtained any necessary consents from individuals whose personal data may be contained in the Content.
11. File Storage and Deletion
All uploaded files are stored in encrypted cloud storage (Supabase Storage). File deletion rights depend on the Vault's status:

- Deleting files removes them from storage only. Vault records, event logs, and evidence PDFs are retained permanently.
- Evidence PDFs cannot be deleted under any circumstances.
- Upon account deletion, we may retain records and logs as required by applicable law.
12. Dispute Handling
- Disputes may be raised within the Service by either party under the following conditions:
- Freelancer: May raise a dispute only when the Vault is in SENT status.
- Client: May raise a dispute when the Vault is in SENT, PAYMENT_CONFIRMED, or APPROVED status.
- When a dispute is raised, the Vault's files are immediately locked and cannot be deleted until the dispute is resolved.
- An evidence PDF is automatically generated from all recorded events and made available to both parties.
- The Company does not act as an arbitrator or mediator in disputes between Freelancers and Clients. Delivault's dispute tools are intended to help parties document their interactions, not to render legal judgments.
- Legal disputes should be resolved through appropriate legal channels in the applicable jurisdiction.
13. Service Availability
- We strive to maintain the Service available 24/7 but do not guarantee uninterrupted or error-free availability.
- We may suspend the Service temporarily for:
- Scheduled maintenance (announced at least 24 hours in advance via the Service or email)
- Security incidents or cyberattacks
- Events beyond our reasonable control (force majeure)
- We will make reasonable efforts to notify you of planned downtime.
14. Termination
14.1 By You
You may close your account at any time via the dashboard or by contacting help@mail.delivault.dev. Unused subscription time is subject to the refund policy in Section 7.
14.2 By Us
We may suspend or terminate your account, with or without notice, if:
- You materially breach these Terms.
- We are required to do so by law.
- Your account shows signs of fraudulent or abusive activity.
For non-material breaches, we will generally provide notice and a reasonable opportunity to remedy the situation before termination.
14.3 Effect of Termination
Upon termination, your right to access the Service ceases immediately. We will retain your data as required by law and as described in our Privacy Policy.
15. Disclaimers
The service is provided "as is" and "as available" without warranties of any kind, express or implied. To the fullest extent permitted by applicable law, the Company disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- The service will meet your specific requirements.
- The service will be uninterrupted, timely, secure, or error-free.
- Any evidence PDF generated by the service will be admissible or legally binding in any jurisdiction.
16. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Company will not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Service.
- Our total cumulative liability to you for all claims arising from or related to the Service will not exceed the total subscription fees you paid in the 12 months preceding the claim.
- The Company is not responsible for the outcome of any dispute between a Freelancer and a Client, or for the enforceability of any evidence generated by the Service.
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such cases, the above limitations apply to the extent permitted by law.
17. Privacy
We collect and process personal data in accordance with our Privacy Policy. By using the Service, you agree to our data practices as described therein.
18. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you via email or a notice within the Service at least 7 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
19. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Korea, without regard to its conflict of law principles. Any disputes arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be subject to the exclusive jurisdiction of the courts located in Seoul, Republic of Korea.
